JaxSingles.com Terms of Service In these conditions the following words have the following meanings unless the context requires otherwise: - "JaxSingles, We, Us, Our" means the JaxSingles division of Volente Services Corporation, whose address is P.O. Box 80157, Austin, Texas 78708 USA. - "Service" means the JaxSingles.com website as used for the purpose of meeting other members. - "Member, You, Your, Yourself" means the person whose application for membership of the Service is accepted by Us. - "Agreement" means the agreement between You and Us incorporating these terms and conditions for the provision of the Service; - "Terms" means the terms and conditions of this Agreement. - "Post" means to publish or display information or content on the Service. - "Software" means the collected programming modules that constitute this Service. - "Proprietary Information" means copyrighted material, trademarks, or other proprietary information . The JaxSingles.com service is a means for adults from the Jacksonville, Florida area to meet others via an online interface. The Service is provided by JaxSingles. This is a legal Agreement between You and JaxSingles. Please read the Agreement carefully before registering for the Service. By registering for the Service, You become a Member of the Service, and You agree to be bound by the Terms for as long as You continue to be a Member. If You do not agree to the Terms, please do not register for the Service. This Agreement sets out the legally binding Terms of Your Membership in the Service and may be modified from time to time, such modifications to be effective immediately upon Posting to the Service. We reserve the right at any time to: - Change the Terms and conditions of this Agreement; - Change the Service, including eliminating or discontinuing any content on or feature of the Service; or - Change any fees or charges for using the Service. Any changes We make will be effective immediately upon notice, which We may provide by means including, without limitation, Posting on the Service or sending You email (at the email address You provide in Your Member profile). Your use of the Service after such notice will be deemed acceptance of the changes. Be sure to review this Agreement periodically to ensure familiarity with the most current version. 1. By becoming a Member, You represent and warrant that You are at least 18 years old. By using the Service, You represent and warrant that You have the right, authority, and capacity to enter into this Agreement and to abide by the Terms of this Agreement. You also represent and warrant that You reside within a reasonable distance of Jacksonville, Florida and intend on using the Service for its' intended purpose of meeting other Members from the Jacksonville, Florida area. You represent and warrant that You have not been convicted of a felony, or if you have, that the fact be duly noted in your profile. You represent and warrant that you do not have a transmittable disease, including any STDs, or if you have, that the fact be duly noted in your profile. You also represent and warrant that Your marital status is correctly and accurately represented. We reserve the right, but have no obligation, to reject any profile or photo that does not comply with the Terms of the Agreement and remove You from the Service without refunding to You any unused subscription fees. 2. Although You may register as a Member of the Service for free, if You wish to communicate with other Members and/or use certain other parts of the Service, You must become a subscriber and pay the fees that are set out in Our price list. This price list is part of this Agreement. We may change any fees or charges for using the Service. To become a Member You must register for the Service. When and if You register to become a Member, You agree to provide accurate, current and complete information about Yourself as prompted by Our registration form, and to maintain and update Your information to keep it accurate, current and complete. You agree that we may rely on Your registration data as accurate, current and complete. You acknowledge that if Your registration data is untrue, inaccurate, not current or incomplete in any respect, We reserve the right to terminate this Agreement and Your use of the Service without refunding to You any unused subscription fees. 3. This Agreement will remain in full force and effect while You are a Member. Either You or We may terminate Your Membership at any time, for any reason, without explanation, effective upon sending written notice via email to You (at the email address You provide in Your Member profile) or to JaxSingles (at admin @ JaxSingles.com). All Membership fees paid are nonrefundable. We reserve the right to immediately suspend or terminate Your access to the Service, with or without notice, upon any breach of this Agreement by You which is brought to Our attention. Even after Your Membership is terminated by You or Us, this Agreement will remain in effect. 4. Your Membership in the Service is for Your sole, personal use. You may not authorize others to use Your Membership. You may not use Your Membership in connection with any commercial endeavors, organizations, companies, and/or businesses unless You have received written authorization from Us to do so. As part of the registration process, You will be asked to select a user id. We may refuse to grant any user id that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as We determine in Our sole discretion. You are responsible for the confidentiality and use of Your user id and password and agree not to transfer or resell Your Membership to any third party. If You have reason to believe that Your user id and password are no longer secure, You must promptly change Your password by updating Your account information, and immediately notify Us by emailing Us at admin @ JaxSingles.com. You are solely responsible for maintaining the confidentiality of Your user id and password and for any and all activities that are conducted through Your user id. 5. You are solely responsible for the content or information You Post on the Service or transmit to other Members. We are entitled to investigate and revoke Your Membership if You have misused the Service, or behaved in a way which We regard as inappropriate, unlawful or illegal. The following is a partial list of the type of Content that is illegal or prohibited on the Service, Content that: - expresses or implies that any statements You make are made or endorsed by Us, without Our specific prior written consent - is patently offensive to the Members of the Service, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual - harasses or advocates harassment of any group or individual - campaigns for or against, degrades, promotes or mocks any political, social or religious viewpoint or is used as a platform for any special interest group. - involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming" - promotes information that you know is false or misleading - promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous - promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files - contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page) - displays pornographic or sexually explicit material of any kind - uses profanities, obscenities or indecencies as defined by the US Federal Communications Commission Policy Statement "Industry Guidance On the Commission's Case Law Interpreting 18 U.S.C. sec 1464 and Enforcement Policies Regarding Broadcast Indecency" (http://www.fcc.gov/eb/Orders/2001/fcc01090.html) - provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under the age of 18 - provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses - solicits passwords or personally identifying information for commercial or unlawful purposes from other users - invites any Member to view information on another web site - engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes. - violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). This includes malicious, fabricated, harassing or injurious communication by You to anyone concerning Members, the Service or Us - provides inaccurate, misleading or false information to Us or to any Member You will promptly report to us any violation of the Terms of this Agreement by other Users. 6. You will use the Service in a manner consistent with any and all applicable laws and regulations. Software from the Service is subject to United States export controls. No Software may be downloaded from the Service or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, You represent and warrant that You are not located in, under the control of, or a national or resident of any such country or on any such list. 7. You will only create one unique profile with the Service. We reserve the right, but have no obligation, to reject any profile that does not comply with the Terms of the Agreement without refunding to You any unused subscription fees. 8. You will not include anywhere in Your profile any contact information, including, but not limited to: telephone numbers, street addresses, last names, URL's or E-mail addresses, places of employment or names of businesses, or personal messages to other users, including their USER IDs. 9. You will not include in Your profile any offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, and You will not Post any photos containing nudity or personal identifying information (as defined in #8, above). We reserve the right, but have no obligation, to reject any profile or photo that does not comply with the Terms of the Agreement and remove You from the Service without refunding to You any unused subscription fees. 10. You will not engage in advertising to, or solicitation of, other Members to buy or sell any products or services through the Service. You will not transmit any chain letters or junk E-mail to other Members. Although We cannot monitor the conduct of Our Members off the Service, it is also a violation of these Terms to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, We reserve the right to restrict the number of messages which a Member may send to other Members in any 24-hour period to a number which We deem appropriate in Our sole discretion. 11. You will not Post in any way any "Proprietary Information" without obtaining the prior written consent to Post the Proprietary Information on the Service, from the owner of such Proprietary Information, and providing that consent in writing to Us. 12. You will not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine", or in any way reproduce or circumvent the navigational structure or presentation of the Service or its Content. 13. You will not interfere with or disrupt the Service, or the servers or networks connected to the Service. We reserve the right, but have no obligation, to remove You from the Service without refunding to You any unused subscription fees. 14. You agree that We have no responsibility or liability for the deletion, corruption or failure to store any messages or other Content maintained or transmitted by the Service. You acknowledge that features, parameters or other services We provide may change at any time. You acknowledge that We reserve the right to sign out, terminate or delete your account for being "inactive". "Inactive" means that you have not signed in to the Service for a particular period of time, as determined by Us, in our sole discretion. 15. You are solely responsible for Your interactions with other Members. You agree to take normal precautions when meeting Members through the Service. We reserve the right, but have no obligation, to monitor and/or mediate disputes between You and other Members. 16. All information, graphics, design, copy and source code is the property of JaxSingles and shall not be reproduced, copied, transferred or otherwise disseminated without the prior written consent of JaxSingles. You will not remove any copyright, trademark or other proprietary rights notices contained in the Site. You will not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service or any Software used on or for the Service or cause others to do so. 17. We will operate the the Service with the reasonable skill and care of an online service provider. We will do our best to maintain the operation of the Service, however, We may need to temporarily suspend the service for operational reasons, such as for repairs, maintenance or upgrades. We will restore the service as soon as possible after any suspension. However, we will not be liable if we cannot quickly resume the Service because of something beyond our reasonable control. 18. The Service may contain links to other Internet websites or resources. We neither control nor endorse such other websites, nor have We reviewed any content that appears on such other websites. You acknowledge and agree that We shall not be held responsible for the legality, accuracy or inappropriate nature of any content, advertising, products, services or information located on or through any other websites or for the operation or policies of any such websites, nor for any loss or damages caused or alleged to have been caused by the use of or reliance on any such websites or such content or other information. 19. Contacting Members on behalf of a non-Member or on behalf of a Guest is not allowed. Two or more people seeking collectively a relationship with other Members are considered Couples. 20. You will defend, indemnify, and hold harmless JaxSingles, its officers, directors, employees, agents, representatives and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of Your use of the Service, including any breach by You of the Terms of this Agreement. In the event that You have any claim or action against any other Member arising from that Member's use of the Service, You agree to pursue such claim or action independently of and without any demands from Us, and You release Us from all claims, liability and damages, arising from or in any way connected to the claim or action. In the event that a claim or action is brought against Us from Your activities or use of the Service, including any breach by You of this Agreement or any charges or complaints made by other parties against You, You agree to pay, hold harmless and defend Us in the claim or action. You also agree to cooperate as fully as reasonably required in the defense of any claim and allow Us to assume the exclusive defense and control of the matter. 21. If there is any dispute about or involving the Service, by using the Service You agree that the dispute will be governed by the laws of the State of Texas without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of the State of Texas, City of Austin. 22. Opinions, advice, statements, offers, or other information or content made available through the Service, but not directly by JaxSingles, its officers, directors, employees, agents, representatives and third parties, are those of their respective authors and not of JaxSingles, and should not necessarily be relied upon. Such authors are solely responsible for such content. We do not guarantee the accuracy, completeness, or usefulness of any information on the Service and neither adopt, endorse or are responsible for the accuracy or reliability of any opinion, advice, or statement made on the Service. Under no circumstances will We be responsible for any loss or damage resulting from anyone's reliance on information or other content Posted on the Service, or transmitted to Members. 23. We cannot guarantee that each Member is at least the required minimum age, nor do we accept responsibility or liability for any content, communication or other use or access of the Service by persons under the required minimum age in violation of this Agreement. Also it is possible that other Members (including unauthorized users) may Post or transmit offensive or obscene materials on the Service and that You may be involuntarily exposed to such offensive and obscene materials. It also is remotely possible for others to obtain personal information about You due to Your use of the Service, and that the recipient may use such information to harass or injure You. We are not responsible for the use of any personal information that You disclose on the Service. Please carefully select the type of information that You Post on the Service or release to others. 24. We reserve the right, but have no obligation, to monitor the materials Posted on the Service. We reserve the right, but have no obligation, to remove any such material that in Our sole opinion violates, or is alleged to violate, the law or the Terms of this Agreement. Notwithstanding this right of Ours, You remain solely responsible for the content of the materials You Post in the public areas of the Service and in Your private messages. 25. We own and retain other Proprietary Information in the Service. The Service contains the copyrighted material, trademarks, and other proprietary information of JaxSingles, Our licensors and licensees. In addition, other Members may Post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which You have been given written permission, You will not Post, copy, modify, publish, transmit, distribute, perform, display, or sell any such Proprietary Information. 26. By Posting information or content to any public area of the Service, You automatically grant, and You represent and warrant that You have the right to grant, to Us an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing. By using JaxSingles.com, you agree to allow us to anonymously use the information from you and your experiences through JaxSingles.com for our 'Comments & News' page. 27. We will keep confidential all information supplied by You in the confidential areas of the Service, including any and all forms of financial information, such as, but not limited to, credit card information, and shall use or disclose such information only for the purposes for which such information was collected, or as required by law. Please see our Privacy Statement for more detailed information concerning confidentiality. 28. When communicating with Our customer service representatives by any means, You will undertake not to be abusive, obscene, profane, offensive, sexually oriented, threatening, harassing or racially offensive. Should any of Our customer service representatives feel, at any given point, threatened or offended by Your conduct, We reserve the right to immediately terminate Your Membership without refunding to You any unused subscription fees. 31. To resolve a complaint regarding the Service, You should first contact JaxSingles Customer Support by clicking on the "Contact JaxSingles" button or via email to admin @ JaxSingles.com. 32. This Agreement, accepted upon becoming a Member of the Service, contains the entire agreement between You and JaxSingles regarding the use of the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. Disclaimer of warranty: JaxSingles provides the Service on an "as is" basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with JaxSingles or its representatives, or otherwise with respect to the Service. JaxSingles specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. JaxSingles does not warrant that Your use of the Service will be secure, uninterrupted, always available, or error-free, or will meet Your requirements, or that any defects in the Service will be corrected. JaxSingles disclaims liability for, and no warranty is made with respect to, connectivity and availability. Limitation of liability: In no event will JaxSingles be liable to You for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute services or Service interruptions) arising out of the use of or inability to use the Service, even if JaxSingles or its agents or representatives know or have been advised of the possibility of such damages, or to any person other than You. Notwithstanding anything to the contrary contained herein, Our liability to You for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by You to JaxSingles for the Service during the term of Membership, pro-rated by the amount of time previously used. JaxSingles does not screen the Members registering to the Service in any way. as a result, JaxSingles will not be liable for any damages, direct, indirect, incidental and/or consequential, arising out of the use of the Service, including, without limitation, to damages arising out of communicating and/or meeting with other Members of the Service, or introduced to You via the Service. Such damages include, without limitation, physical damages, bodily injury and/or emotional distress and discomfort. The Member certifies that the Member has read and agrees to be bound by these Member Terms and Conditions.
